These Terms & Conditions ("Terms") constitute a binding agreement between you ("Client," "User," or "you") and arrowdel ("arrowdel," "we," "us," or "our"), governing your access to and use of our website, products, and professional services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services.
Definitions
- "Services" means any software development, consulting, design, or related digital services provided by arrowdel.
- "Website" means arrowdel's public website and any subdomains operated by arrowdel.
- "Client" or "you" means the individual or organization that engages arrowdel for Services or otherwise uses the Website.
- "Deliverables" means any work product, code, designs, documentation, or other materials created by arrowdel for a Client under a specific engagement.
Use of our website and services
You agree to use our Website and Services only for lawful purposes and in accordance with these Terms. You must not:
- Use the Website in any way that violates applicable local, national, or international law or regulation.
- Attempt to gain unauthorized access to any part of our systems, servers, or networks.
- Introduce viruses, malware, or other harmful code through the Website.
- Reproduce, duplicate, copy, or resell any part of the Website without our express written consent.
Intellectual property rights
Unless otherwise agreed in writing (for example, in a signed statement of work), all content on this Website — including text, graphics, logos, and software — is the property of arrowdel or its licensors and is protected by applicable intellectual property laws. For client engagements, ownership of Deliverables transfers to the Client upon full payment, except for arrowdel's pre-existing tools, frameworks, and proprietary methodologies, which remain the property of arrowdel and are licensed to the Client for use with the Deliverables.
Client responsibilities
When engaging arrowdel for Services, the Client agrees to:
- Provide timely, accurate information, access, and feedback required to deliver the Services.
- Secure any necessary rights, licenses, or permissions for content or materials supplied to arrowdel.
- Review and approve Deliverables within the timeframes agreed in the applicable statement of work.
- Make payments in accordance with the agreed invoicing schedule.
Payment and fees
Fees for Services are set out in individual proposals, statements of work, or invoices. Unless otherwise agreed, invoices are due within the period stated on the invoice. arrowdel reserves the right to suspend work on any engagement where payment is materially overdue, and to apply late payment charges where permitted by law.
Confidentiality
Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during an engagement, and to use such information solely for the purpose of performing under the applicable agreement. This obligation survives the completion or termination of an engagement.
Limitation of liability
To the fullest extent permitted by law, arrowdel shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to your use of the Website or Services. Our total liability arising from any engagement shall not exceed the total fees paid by the Client for the Services giving rise to the claim in the twelve (12) months preceding the claim.
Indemnification
You agree to indemnify and hold arrowdel, its employees, and affiliates harmless from any claims, damages, or expenses arising from your breach of these Terms or misuse of the Website or Services.
Termination
Either party may terminate an ongoing engagement in accordance with the notice period specified in the applicable statement of work. Upon termination, the Client shall pay for all Services performed and expenses incurred up to the termination date. arrowdel may suspend or terminate access to the Website at its discretion for conduct that violates these Terms.
Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan, unless otherwise agreed in writing.
Changes to these terms
We may update these Terms from time to time to reflect changes in our practices or for legal, operational, or regulatory reasons. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Website or Services after changes take effect constitutes acceptance of the revised Terms.
